What is an Umbrella Company?

Umbrella Companies provide PAYE for workers on fixed term contracts. Although you may work for an end client for a fixed period, usually via a recruitment agency, the umbrella company is your legal employer, who processes your pay through PAYE and administers your employment benefits.

Once we receive an authorised timesheet, we invoice your recruitment agency or end client for the work you have done. We then take this money, and pay it to you through PAYE, while making all necessary deductions. 

When you get paid, you will receive a payslip and reconciliation sheet, which show a full breakdown of your pay, including what deductions are made. These include statutory deductions, such as National Insurance, Apprenticeship Levy and Income Tax.

The Apprenticeship Levy is paid into by companies with a high annual wage bill. It was introduced to fund apprenticeships, as companies can then access these funds to pay for the training of apprentices. The Apprenticeship Levy applies to a relatively small percentage of businesses in the UK, including many umbrella companies. These companies often fall under the Levy due to their unique business model. Typically, umbrella companies manage large sums of contract funds and handle payments for numerous workers. As a result, their annual wage bill can be substantial, even if their profit margins are slimmer compared to other companies that pay the Levy. Find out more in our apprenticeship levy blog, here.

With Trafalgar Umbrella, your holiday pay is calculated within each payment and can either be advanced to you every time you get paid, or saved / accrued for you to take out at a later date. The exact amount will always be clearly displayed on your weekly/monthly payslip, ensuring complete transparency. 

You will be entitled to the statutory entitlement for annual leave from the 52-week calendar year. This means, you will be entitled to at least 28 days of umbrella company holiday pay.

As a contractor you may incur expenses that your agency has agreed to reimburse. These expenses are often referred to as billable or chargeable expenses. Chargeable Expenses can be claimed through us and offset against tax and national insurance, providing we have confirmation that your agency is reimbursing you for the expenses and there’s an online claim on our portal with supporting VAT receipts. For expense claims that are not being reimbursed by your agency, you may be able to claim tax relief on these expenses by submitting a claim through HMRC via a P87 or self-assessment. You must, however, retain all receipts as evidence of these expenses. Learn more in our expenses guide, here.

Continuity of Employment is one of the key factors mortgage lenders look for when making offers, meaning mortgages for contractors can be more expensive or difficult to obtain.

Umbrella employment is a solution to this. It provides an overarching employment contract, regardless of the length of your contract.

You can work for multiple clients at once with Trafalgar Umbrella. Because your employment contract with us is ‘overarching’, it means the contracts you take on while working through us are all processed through one PAYE contract. Just let us know the details of your contract and we’ll handle the rest. 

What is the FCSA and why does FCSA Accreditation Matter?
The Freelancer & Contractor Services Association (FCSA) is a leading UK professional body committed to promoting compliance and ethical standards across the temporary workforce supply chain. To achieve FCSA accreditation, umbrella companies must prove that their internal processes and procedures fully comply with HMRC’s rules and regulations. Trafalgar Umbrella is a proud FCSA Member, demonstrating our stellar reputation for compliance.

IR35 is a legislation targeting ‘disguised employment’. Essentially, it prevents companies from exploiting contractors to avoid paying employment costs. 

IR35 works by classifying your contract as ‘Inside’ or ‘Outside’. 

‘Outside IR35’ means you are genuinely self-employed. The distinguishing features of an Outside IR35 Contract include that you have the freedom to work when, where and how you want, use your own equipment, have no obligation to accept more work, nor is your client obligated to give you more work. 

Imagine you are building a beautiful website like this one. You want to ensure that it is secure, so you engage a freelance cyber security expert, who works through their own limited company, “Phishin’ Impossible Ltd“. 

You have an initial meeting with them, and they get to work. They work on their own schedule, using their own equipment, while also helping their other clients. Once they have done the work agreed, you pay the invoice.

This contract is likely to be Outside IR35.

‘Inside IR35’ is, in a nutshell, when someone ‘looks employed’. This could mean that their working hours are dictated by their end client, who also provide their equipment, and things like a company laptop and lanyard. Before IR35, companies were able to exploit the system to get away with not paying taxes such as National Insurance. It also allowed for exploitation of contractors, as they’d face the same restrictions of employees, such as not being able to control their working schedules, while not receiving the benefits such as a pension, maternity/paternity pay and sick pay. 

Let’s go back to our example, and imagine our freelance cybersecurity consultant was contacted by ‘Pie Hard Ltd‘, a pie and baked goods manufacturer. They had just been hit with a cyberattack, so wanted to ensure it didn’t happen again, so they sought out the assistance of a cybersecurity consultant. However, they wanted this consultant to work in-house, on the same work schedule as their full time employees. What’s more, once the consultant had set up the firewalls, they wanted them to continue to monitor them.

This contract is likely to be Inside IR35.

Now, while the consultant could continue to work through their limited company, (Phishin’ Impossible), they would legally have to calculate the amount of tax and NI they need to pay, or risk HMRC investigations or fines. However, this causes them a lot of confusion and stress, and takes up their time – time they could better spend doing what they do best!
